TERMS AND CONDITIONS OF SALE

1. DEFINITIONS

1.1 "Company" refers to Capital Croissant Limited, its subsidiaries, and any trading names it uses.

1.2 "Customer" means any person, firm, company, or legal entity placing an order or purchasing Products, including their agents, employees, or subcontractors.

1.3 "Food" means any food or beverage.

1.4 "Non-Food" means any goods that are not Food.

1.5 "Contract" means the agreement for sale and purchase of Products between the Company and the Customer.

1.6 "Products" means Food and/or Non-Food goods supplied by the Company.

1.7 "Statutory Interest" refers to interest under the Late Payment of Commercial Debts (Interest) Act 1998 and related regulations.

1.8 "Terms and Conditions" means these Terms and Conditions of Sale.

2. ORDERS AND CONTRACT FORMATION

By placing an order with the Company (via telesales or website), the Customer agrees to these Terms and Conditions. A Contract is formed when the Company either (a) confirms acceptance of the order or (b) delivers the Products—whichever is earlier.

All Contracts are subject to stock availability. Price lists and website prices are invitations to treat—not offers—and may be amended before the Contract is formed. Prices exclude VAT unless otherwise stated.

3. VARIATIONS AND DISCOUNTS

3.1 The Company may amend or cancel the Contract if information provided by the Customer is incomplete or inaccurate.

3.2 Product specifications may be varied without notice unless agreed otherwise in writing.

3.3 Discounts are only binding if agreed in writing.

3.4 Continued application of a discount despite a Customer’s breach does not waive the Company’s rights; full prices may be claimed.

4. RISK

Risk passes to the Customer upon delivery and signature by a responsible person.

If delivery is made outside of normal office hours and a signature is not available, a photograph taken at the delivery location shall serve as proof of delivery, and risk shall pass at that point.

The Company is not liable for any loss or damage occurring on the delivery premises before signature (or photographic proof of delivery), if caused by the Customer’s actions, omissions, or site conditions.

5. PAYMENT TERMS

5.1 Unless agreed otherwise in writing, payment is due end of month + 15days. 

5.2 Late payment entitles the Company to suspend future deliveries. Time is of the essence.

5.3 The Company may demand immediate payment of any sum (whether due or not) and take legal action.

5.4 Overdue amounts accrue Statutory Interest until paid in full, including post-judgment.

5.5 A charge of £20 may be applied for each dishonoured cheque, standing order, or direct debit.

5.6 The Company may refuse to offer or continue credit at its discretion.

6. DELIVERY

6.1 Delivery dates are estimates. The Company is not liable for delay or failure due to external causes. Time is not of the essence unless agreed in writing.

6.2 Products are delivered to the agreed location. If no one is present to receive them, the Company may leave them at the premises, and risk transfers at that point.

6.3 If the Customer refuses or fails to take delivery: 

6.3.1 The Company may charge for round-trip carriage and admin costs.

6.3.2 The full Product price and lost profit may be charged (Company will attempt to mitigate losses).

7. ACCEPTANCE & CLAIMS

7.1 Customer must check Products and sign the delivery note.

7.2 Claims for visible damage or shortages must be made within 48 hours of delivery and Products retained for inspection. Credit will only be issued if these procedures are followed.

8. CANCELLATION

Contracts cannot be cancelled without the Company’s written consent. A cancellation fee may apply.

9. WARRANTIES

9.1 The Company warrants that Food complies with the Food Safety Act 1990 and applicable UK laws.

10. LIMITATION OF LIABILITY

10.1 The Company limits liability as permitted by law:

10.1.1 Liability for Food Products only applies until their "Use by" or "Best before" date.

10.1.2 Liability is limited to replacement or refund at the Company’s discretion.

10.1.3 Death or injury due to Company negligence is not limited.

10.2 The Company is not liable for:

10.2.1 Damage due to improper handling or storage by the Customer;

10.2.2 Claims not made under Condition 7;

10.2.3 Claims made over 3 months after invoice date;

10.2.4 Loss of profits, goodwill, customers, or indirect damages;

10.2.5 Events outside the Company’s reasonable control.

11. GENERAL TERMS

11.1 Delay in enforcing terms is not a waiver.

11.2 If any part is invalid, the rest remains enforceable.

11.3 The Company may assign the Contract; the Customer may not without consent.

11.4 Written notices are valid if sent by first-class post to the registered office.

11.5 No third-party rights under the Contract.

11.6 English law governs this Contract. Disputes subject to English Courts.

11.7 For partnerships, liability is joint and several.

11.8 Anyone signing on behalf of a Customer company binds the company.

11.9 Customer is responsible for any order placed using its account number.

11.10 The Company may update these Terms with 7 days' written notice.

12. INSOLVENCY

If the Customer becomes insolvent, enters administration, liquidation, or similar proceedings, or if the Company reasonably believes such events are imminent:

The Company may cancel or suspend the Contract; and All outstanding sums become immediately due.

13. FORCE MAJEURE

The Company is not liable for delay or non-performance due to factors beyond its control (e.g., manufacturer issues, strikes, severe weather, system failures, etc.).

14. INTELLECTUAL PROPERTY & WEBSITE TERMS

14.1 The Company owns the intellectual property in its materials and site unless stated otherwise. Accuracy is not guaranteed.

14.2 You may download or print one copy for personal, non-commercial use. Framing, linking, or copying is prohibited without written consent.

15. APPLICABILITY

These Terms prevail over any Customer terms. Other terms are expressly rejected.
